1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Growmax LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company with its principal place of business at 30 North Gould Street, Sheridan, WY 82801, USA.

By accessing or using ReviewNow ("Service"), you agree to be bound by these Terms, ourPrivacy Policy, and all applicable laws and regulations. If you do not agree, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

ReviewNow is a reputation management platform that provides:

• Google Business Profile Reviews Management: Monitoring, analytics, and insights for your Google reviews
• AI-Powered Fake Review Detection: Automated analysis to identify potentially fraudulent reviews
• Review Collection Campaigns: WhatsApp-based outreach to request reviews from your customers
• Competitor Analysis: Benchmarking your reviews against competitors in your market
• Team Inbox: Collaborative WhatsApp messaging for customer communication

4. User Obligations

You agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws
• Maintain the confidentiality of your account credentials
• Provide accurate and complete registration information
• Not use the Service for spam, bulk messaging, or unsolicited communications
• Not violate WhatsApp's or Google's Terms of Service or Community Guidelines
• Not use the Service to post fake reviews or manipulate ratings
• Not harass, abuse, defame, or harm others
• Not attempt to reverse engineer, decompile, or interfere with the Service
• Not use automated systems to scrape or extract data from our platform
• Comply with all applicable data protection laws when processing customer data

5. Acceptable Use Policy

The following uses are strictly prohibited:

• Posting, incentivizing, or soliciting fake reviews (violates Google's policies and may be illegal)
• Sending unsolicited messages to individuals who have not consented
• Using the Service to conduct illegal activities or fraud
• Attempting to defame competitors through false claims
• Circumventing rate limits, security measures, or access controls
• Sharing account access with unauthorized third parties
• Using the Service in violation of export control or sanctions laws

Violation of this Acceptable Use Policy may result in immediate account termination without refund.

6. Account & Billing

Free Tier: Includes limited features as described on our pricing page. Free tier access may be modified or discontinued at our discretion.

Trial Period: New accounts may receive a trial period of paid features. After the trial, accounts revert to the free tier unless upgraded.

Paid Subscriptions: Billed in advance on a monthly or annual basis via Stripe. All fees are quoted exclusive of applicable taxes unless stated otherwise.

Refund Policy: Subscription fees are generally non-refundable. However:

• We offer pro-rata refunds for annual subscriptions cancelled within 14 days of purchase
• If required by your local consumer protection laws, you may have additional refund rights

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

Price Changes: We may modify pricing with 30 days' notice. Your continued use after pricing changes constitutes acceptance.

7. Intellectual Property

Our IP: The Service, including its design, code, algorithms, trademarks, and content (excluding user content), is owned by Growmax LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Your Content: You retain ownership of content you upload or create using the Service. You grant us a limited, non-exclusive license to use, store, and display your content solely to provide the Service.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

8. Data & Privacy

Your use of the Service is governed by our Privacy Policy. Key points:

• Data Processing Agreement: For EU/UK customers processing personal data through our Service, we offer a Data Processing Agreement (DPA) upon request.
• Security: We implement encryption in transit (TLS 1.3) and at rest (AES-256), along with industry-standard access controls.
• Data Portability: You may export your data at any time through your account settings.
• Confidentiality: We do not sell customer data or share it with third parties except as described in our Privacy Policy.

9. AI & Automated Processing

Our Service uses artificial intelligence and machine learning for:

• Fake review detection and analysis
• Sentiment analysis of reviews
• Automated response suggestions
• Customer conversation assistance

Limitations: AI analysis is provided as informational guidance only. Results may not be 100% accurate. We recommend human review before taking significant actions based on AI outputs.

No Legal Advice: AI-generated suggestions do not constitute legal advice. Consult qualified professionals before taking legal action regarding reviews.

11. Indemnification

You agree to indemnify, defend, and hold harmless Growmax LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms or applicable laws
• Your violation of any third-party rights, including Google's or WhatsApp's Terms of Service
• Any content you transmit, post, or share through the Service
• Your review collection practices or customer communications
• Claims by your customers or third parties related to your use of the Service

12. Termination

Termination by You: You may terminate your account at any time through your account settings or by contacting support.

Termination by Us: We may suspend or terminate your access immediately, with or without notice, for:

• Violation of these Terms or Acceptable Use Policy
• Request or demand from Google, Meta, WhatsApp, or any platform provider
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of applicable fees (after notice and cure period)
• Extended inactivity (accounts inactive for 12+ months may be deleted)

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy retention schedule.

Survival: Sections regarding intellectual property, limitation of liability, indemnification, governing law, and dispute resolution survive termination.

13. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Arbitration: Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in English, and the seat shall be Sheridan County, Wyoming.

Class Action Waiver: You agree to resolve any disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations or breach of confidentiality obligations.

EU/UK Consumers: If you are a consumer in the EU/UK, this arbitration clause does not affect your statutory rights to bring claims in your local courts.

14. Export Compliance

The Service may be subject to U.S. export control laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and are not on any U.S. government restricted party list.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on our website at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically. The "Last updated" date indicates the latest revision.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Growmax LLC regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or affiliate.
• Force Majeure: We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.
